1. Acceptance of These Terms
These Terms of Use (the "Terms") govern your access to and use of www.afissio.com and any related pages, content, and features (the "Site"). The Site is operated by Afissio LLC and includes content concerning Afissio Law LLC.
By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
2. The Two Afissio Entities
Afissio LLC is an Arizona limited liability company with its principal place of business at 520 Broadway, Suite 200, Santa Monica, California 90401. It provides transaction-readiness consulting services. Afissio LLC is not a law firm, does not provide legal services or legal advice, and its personnel do not act as your attorneys. Information you provide to Afissio LLC is not protected by the attorney-client privilege.
Afissio Law LLC is an Arizona limited liability company and a law firm providing legal services through licensed attorneys, with its office at 1438 W Broadway Road, Suite 101, Tempe, Arizona 85282.
The two entities are separate. Services described on the Site are provided by one entity or the other, as indicated, and not jointly. Engaging one entity does not engage the other.
3. No Legal Advice
The Site is provided for general informational purposes only. Nothing on the Site is legal advice, and nothing on the Site should be relied upon as a substitute for advice from a licensed attorney regarding your particular circumstances. Laws vary by jurisdiction and change over time, and content on the Site may not be current.
You should not act, or refrain from acting, based on anything on the Site without first obtaining advice from qualified counsel licensed in your jurisdiction.
4. No Attorney-Client Relationship
Using the Site does not create an attorney-client relationship with Afissio Law LLC. An attorney-client relationship is established only when Afissio Law LLC has completed its conflicts check and the firm and the client have executed a written engagement agreement.
Do not send confidential or sensitive information through the Site or by email until an engagement agreement is in place. Unsolicited information you send before an engagement is established:
- may not be treated as confidential;
- may not be protected by the attorney-client privilege or the work-product doctrine;
- may be disclosed to others; and
- will not prevent Afissio Law LLC from representing another party adverse to you in the same or a related matter.
Time-sensitive matters may be subject to statutes of limitation or other deadlines. Do not rely on the Site, a web form, or an email to preserve any legal right or meet any deadline.
5. Attorney Advertising
Portions of the Site concerning Afissio Law LLC may be considered attorney advertising under applicable rules of professional conduct.
Afissio Law LLC is responsible for the content of the Site relating to its legal services. The attorney responsible for this content is Jerry Stephen Smith, who may be contacted at Afissio Law LLC: jerry@afissio.com.
Prior results do not guarantee or predict a similar outcome in any future matter. No representation is made that the quality of the legal services to be performed is greater than the quality of legal services performed by other lawyers. Any description of experience, industries served, or types of matters handled is provided for informational purposes and is not a promise or guarantee of any particular result.
Afissio Law LLC’s attorneys are licensed to practice in Arizona. The firm does not seek to represent anyone in a jurisdiction where the Site would not comply with that jurisdiction’s laws or rules of professional conduct.
6. Permitted Use
You may access and view the Site for your own lawful, informational, and non-commercial use. You agree not to:
- Use the Site in violation of any law or these Terms;
- Copy, reproduce, republish, distribute, sell, or create derivative works from Site content except as permitted in Section 7;
- Use any automated means to access, scrape, index, or harvest the Site or its content, or to collect information about other users, except as expressly permitted by our robots.txt file;
- Use Site content to train or fine-tune any machine learning or artificial intelligence model without our prior written consent;
- Introduce malware or otherwise interfere with, disrupt, or attempt to gain unauthorized access to the Site or its underlying systems;
- Impersonate any person or misrepresent your affiliation with any person or entity; or
- Use the Site to transmit unsolicited commercial communications.
7. Intellectual Property
The Site and its contents, including text, graphics, logos, the Afissio name and marks, page design, article content, and the selection and arrangement of the foregoing, are owned by Afissio LLC or Afissio Law LLC, or licensed to us, and are protected by United States and international intellectual property laws.
You may view, download, and print individual pages or articles for your own reference, provided you do not remove any copyright, trademark, or other proprietary notice. You may quote briefly from Site content with attribution to Afissio. All other rights are reserved. No license to any Afissio trademark is granted by these Terms or by your use of the Site.
8. Submissions and Feedback
Subject to Sections 4 and 5, if you send us suggestions, comments, or feedback about the Site or our services, you grant us a non-exclusive, worldwide, royalty-free, perpetual, and irrevocable license to use that feedback for any purpose without obligation or compensation to you. This Section does not apply to information provided in the course of an engagement with either entity, which is governed by the applicable engagement agreement.
9. Third-Party Content and Links
The Site may contain links to, or content from, third-party websites, publications, and platforms. We provide these for convenience and reference only. We do not control, endorse, or assume responsibility for third-party content, products, services, or privacy practices. A link is not a referral or a recommendation, and it does not imply that any relationship exists between Afissio and the linked party.
10. Availability and Changes to the Site
We may modify, suspend, or discontinue the Site or any part of it at any time and without notice. We are not obligated to update Site content, and content may become outdated. We may also revise these Terms at any time by posting the revised version on the Site and updating the "Last Updated" date. Your continued use of the Site after a revision takes effect constitutes acceptance of the revised Terms.
11. Disclaimer of Warranties
THE SITE AND ALL CONTENT ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, AFISSIO DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ITS CONTENT IS ACCURATE, COMPLETE, OR CURRENT.
Nothing in this Section limits any obligation that Afissio Law LLC owes to a client under an engagement agreement or under the applicable rules of professional conduct, and nothing in these Terms is intended to limit a lawyer’s liability for professional malpractice to a client.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER AFISSIO LLC NOR AFISSIO LAW LLC, NOR THEIR RESPECTIVE MEMBERS, OFFICERS, EMPLOYEES, OR AGENTS, WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, WHETHER BASED IN CONTRACT, TORT, STATUTE, OR OTHERWISE, AND WHETHER OR NOT WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of this Section may not apply to you. This Section does not apply to a client’s claims arising out of an engagement agreement.
13. Indemnification
You agree to indemnify, defend, and hold harmless Afissio LLC and Afissio Law LLC and their respective members, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Site in violation of these Terms or applicable law.
14. Governing Law and Disputes
The Site is operated and maintained from California. These Terms and any dispute arising out of or relating to them or to the Site are governed by the laws of the State of California, without regard to its conflict-of-laws principles.
Any such dispute will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of those courts and waive any objection to venue in those courts.
Nothing in this Section applies to a dispute between Afissio Law LLC and a client arising out of the firm’s legal services, which is governed by the applicable engagement agreement and by the rules of professional conduct.
15. General
- Severability. If any provision of these Terms is held unenforceable, that provision will be modified to the minimum extent necessary and the remaining provisions will remain in full force.
- No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Entire agreement. These Terms, together with the Privacy Policy and Cookie Policy, are the entire agreement between you and Afissio regarding the Site, and supersede any prior understanding regarding the Site. They do not supersede any engagement agreement.
- Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.
- Headings. Headings are for convenience only and do not affect interpretation.
